Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and AstraLink Connect, LLC (“AstraLink”, “we”, “us”, or “our”) governing your access to and use of our website, products, services, and applications (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to all of these Terms, you may not access or use the Services. If you are using the Services on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Services. By using our Services, you represent and warrant that:

  • You are of legal age and have the authority to enter into this agreement
  • All information you provide is accurate, current, and complete
  • You will comply with these Terms and all applicable laws and regulations
  • You are not located in a country subject to U.S. government embargo or designated as a “terrorist supporting” country

Account Registration

Creating an Account

To access certain features of our Services, you must register for an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

Account Security

You are responsible for safeguarding the password and any other credentials used to access your account. We strongly recommend enabling multi-factor authentication (MFA) for all administrator accounts. AstraLink will not be liable for any loss or damage arising from your failure to comply with these security obligations.

Service Description

AstraLink Connect provides enterprise-grade network security solutions designed for small businesses. Our core services include:

Network Security Appliance

A managed security appliance that sits between your ISP router and your internal network, providing:

  • DNS filtering and threat intelligence
  • Intrusion detection and prevention (IDS/IPS)
  • Virtual LAN (VLAN) segmentation
  • VPN gateway functionality
  • Real-time traffic monitoring and alerting

Managed Security Service

Ongoing monitoring, management, and support for your security infrastructure, including:

  • 24/7 security operations center (SOC) monitoring
  • Threat response and incident management
  • Regular security updates and patches
  • Quarterly security posture reviews
  • Dedicated customer success management

Alpha and Beta Services

From time to time, we may offer alpha, beta, or early-access features. These services are provided “as is” for evaluation purposes and may contain bugs, errors, or other issues. We make no warranties regarding the reliability or availability of pre-release features.

Payment Terms

Fees and Billing

Certain Services require payment of fees. All fees are:

  • Quoted in U.S. dollars unless otherwise specified
  • Exclusive of applicable taxes, which are your responsibility
  • Billed in advance on a monthly or annual basis, depending on your selected plan
  • Non-refundable except as required by law or as expressly stated in these Terms

Subscription Renewals

Subscriptions automatically renew for successive periods equal to your initial subscription term unless you cancel before the renewal date. You may cancel your subscription at any time through your account dashboard or by contacting our support team.

Late Payments

If we are unable to process your payment, we may suspend your access to paid Services until payment is received. We reserve the right to charge interest on overdue amounts at the lesser of 1.5% per month or the maximum rate permitted by law.

Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law, regulation, or governmental order
  • Infringe upon the intellectual property rights of others
  • Transmit any material that is defamatory, obscene, or otherwise objectionable
  • Distribute malware, viruses, or other harmful code
  • Attempt to gain unauthorized access to our systems or networks
  • Interfere with or disrupt the integrity or performance of the Services
  • Engage in any activity that could damage, disable, or impair our infrastructure
  • Resell, sublicense, or commercially exploit the Services without authorization

We reserve the right to investigate and take appropriate action against anyone who violates these provisions, including removing content, suspending accounts, and reporting violations to law enforcement authorities.

Intellectual Property

Our Intellectual Property

The Services and all content, features, and functionality therein, including but not limited to software, algorithms, designs, text, graphics, logos, and trademarks, are owned by AstraLink or our licensors and are protected by copyright, trademark, patent, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services solely for their intended purpose. This license does not grant you any right to:

  • Copy, modify, or create derivative works of our software or content
  • Reverse engineer, decompile, or disassemble any aspect of the Services
  • Remove or alter any proprietary notices or labels
  • Use our trademarks without prior written permission

Your Content

You retain ownership of any data, configurations, or content you submit to the Services (“Customer Data”). By submitting Customer Data, you grant us a limited license to use, process, and store such data solely for the purpose of providing and improving the Services.

Confidentiality and Security

Our Security Obligations

AstraLink implements industry-standard security measures to protect Customer Data. Our security practices include encryption in transit and at rest, access controls, regular vulnerability assessments, and employee security training. We are actively pursuing SOC 2 Type I certification.

Confidential Information

During the course of our relationship, each party may disclose confidential information to the other. Both parties agree to:

  • Use confidential information only for the purpose of fulfilling obligations under these Terms
  • Protect confidential information with at least the same degree of care used to protect their own proprietary information
  • Not disclose confidential information to third parties without prior written consent
  • Return or destroy all confidential information upon termination of the relationship

Limitation of Liability

To the maximum extent permitted by applicable law, AstraLink and its officers, directors, employees, and agents shall not be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages arising from third-party attacks, data breaches, or unauthorized access
  • Damages resulting from your failure to implement recommended security practices

Our total cumulative liability for any claims arising under these Terms shall not exceed the total amount you paid to AstraLink in the twelve (12) months preceding the event giving rise to liability.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, ASTRALINK DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICES

No advice or information, whether oral or written, obtained from AstraLink or through the Services shall create any warranty not expressly stated herein.

Indemnification

You agree to indemnify, defend, and hold harmless AstraLink and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:

  • Your access to or use of the Services
  • Your violation of these Terms or any applicable law
  • Your infringement of any intellectual property or other rights of any third party
  • Any Customer Data you submit to the Services

Termination

Termination by You

You may terminate your account and these Terms at any time by canceling your subscription and ceasing all use of the Services. Data retention after termination is governed by our Privacy Policy.

We may suspend or terminate your access to the Services, with or without notice, if we believe you have violated these Terms or if required by law. Upon termination:

  • All licenses granted to you will immediately cease
  • You must cease all use of the Services
  • We may delete your account and associated data in accordance with our data retention policies

Survival

Sections pertaining to intellectual property, confidentiality, limitation of liability, indemnification, and any other provisions that by their nature should survive termination shall continue in effect after termination.

Governing Law and Dispute Resolution

Governing Law

These Terms and any disputes arising under them shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms shall first be addressed through good faith negotiations between the parties. If the dispute cannot be resolved through negotiation within sixty (60) days, either party may pursue resolution through binding arbitration in Houston, Texas, administered by the American Arbitration Association.

Class Action Waiver

You agree that any proceedings arising out of these Terms will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in class actions.

Changes to These Terms

We may revise these Terms from time to time. When we make material changes, we will:

  • Update the “Last Updated” date at the top of this page
  • Provide at least 30 days’ notice via email for material changes affecting paid subscribers
  • Post a notice on our website for changes affecting all users

Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of the changes.

General Provisions

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.

Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and AstraLink regarding the Services.
